Hi Pro Electronics® – Terms and Conditions of Sale
- Definitions
In this document, the following words shall have the following meanings:
- “Buyer” means the organisation or person who buys Goods;
- “Goods” means the articles to be supplied to the Buyer by the Seller;
- “Intellectual Property Rights” means all patents, registered and unregistered designs, copyright, trademarks, know-how and all other forms of intellectual property wherever in the world enforceable;
- “Seller” means Hi Pro Electronics L.P. , 7 Aminiou Street 18908 Salamis Greece.
- General
- These Terms and Conditions shall apply to sales of Goods by the Seller to the Buyer to the exclusion of all other terms and conditions referred to, offered or relied on by the Buyer whether in negotiation or at any stage in the dealings between the parties, including any standard or printed terms tendered by the Buyer, unless the Buyer specifically states in writing, separately from such terms, that it wishes such terms to apply and this has been acknowledged by the Seller in writing.
- Any variation to these Terms and Conditions (including any special terms and conditions agreed between the parties) shall be inapplicable unless agreed in writing by the Seller.
- Price and Payment
- The price shall be the Suggested Retail Price (SRP), unless otherwise agreed in writing between the parties.
- For the sale of goods via hipel.gr, The Seller accepts payment by debit card or credit card.
- Goods are only dispatched to the Buyer once payment has been processed.
- Goods are subject to localised taxes and duties.
- Limited sales promotional codes may be offered periodically. These are at the discretion of the Seller and can be revoked at any time
- International Sales
The cost of shipping and any duties will be calculated and added to any order placed.
The Buyer is responsible for including their EORI number and VAT number where applicable.
- Description
Any description given or applied to the Goods is given by way of identification only and the use of such description shall not constitute a sale by description. For the avoidance of doubt, the Buyer hereby affirms that it does not in any way rely on any description when entering into the contract.
- Sample
Where a sample of the Goods is shown to and inspected by the Buyer, the parties hereto accept that such a sample is representative in nature and the bulk of the order may differ slightly as a result of the manufacturing process.
- Purchase Orders
The Seller requests the Buyer to place all orders via hipel.gr. All orders received will be processed within 48 business hours.
- Delivery
- Unless otherwise agreed in writing, delivery of the Goods shall take place at the address specified by the Buyer on, or as close as possible to the date required by the Buyer. The Buyer shall make all arrangements necessary to take delivery of the Goods whenever they are tendered for delivery.
- If the Seller is unable to deliver the Goods because of actions or circumstances under the control of the Buyer, then the Seller shall be entitled to place the Goods in storage until such times as delivery may be effected and the Buyer shall be liable for any expense associated with such storage.
- Any damages, shortages, over deliveries and duplicated orders should be reported to the Seller within 14 days of signed receipt to enable replacement or refund.
- Carriage, insurance and freight will be charged at cost per shipment based on the preferred carrier of the Seller.
- Risk
Risk in the Goods shall pass to the Buyer upon receipt of the Goods. Where the Seller has agreed that the Buyer is collecting the Goods, risk will pass when the Goods are entrusted to it or set aside for its collection, whichever happens first.’
- Title
Title in the Goods shall not pass to the Buyer until the Seller has been paid in full for the Goods.
11. Dealing with Suspected Faulty Items
In the first instance of suspecting a product to be faulty, customers are asked to e-mail sales@hipel.gr so that our Support team can perform initial tests on the unit. If our team cannot resolve the issue, customers should return the product. Upon further inspection, if the product is found to be faulty, Hi Pro Electronics will replace it free of charge with an equivalent or improved version, provided that the product is still under guarantee. When dealing with replacement items, Hi Pro Electronics will only be responsible for covering carriage costs from our Greek headquarters.
12.Force Majeure
The Seller shall not be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, pandemics, accidents, war, fire, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, and the Seller shall be entitled to a reasonable extension of its obligations. If the delay persists for such time as the Seller considers unreasonable, it may, without liability on its part, terminate the contract.
13.Relationship of Parties
Nothing contained in these Terms and Conditions shall be construed as establishing or implying any partnership or joint venture between the parties and nothing in these Terms and Conditions shall be deemed to construe either of the parties as the agent of the other.
14.Waiver
The failure by either party to enforce at any time or for any period any one or more of the Terms and Conditions herein shall not be a waiver of them or of the right at any time subsequently to enforce all Terms and Conditions of this Agreement.
15.Severability
If any term or provision of these Terms and Conditions is held invalid, illegal or unenforceable for any reason by any court of competent jurisdiction, such provision shall be severed and the remainder of the provisions hereof shall continue in full force and effect as if these Terms and Conditions had been agreed with the invalid, illegal or unenforceable provision eliminated.
16.Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Greece and the parties hereby submit to the exclusive jurisdiction of the Greek courts.
17.Right to Change
Hi Pro Electronics L.P. reserves the right to change, amend or delete these terms and conditions at any time.
18.Acceptance of Terms
By placing an order with Hi Pro Electronics L.P., the Buyer agrees to be bound by these Terms and Conditions. If the Buyer does not agree to these Terms and Conditions, they should not use the Hi Pro Electronics website or services.
By agreeing to these Terms and Conditions, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.
19.Changes to Terms
Hi Pro Electronics L.P. reserves the right to change these Terms and Conditions at any time. Any changes will be posted on the Hi Pro Electronics website and it is the Buyer’s responsibility to review these Terms and Conditions regularly to ensure they are aware of any changes.
20.Limitation of Liability
To the fullest extent permitted by law, Hi Pro Electronics L.P. shall not be liable for any indirect, incidental, special, or consequential damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- The Buyer’s use or inability to use the Goods;
- Any unauthorized access to or use of the Seller’s servers and/or any personal information stored therein;
- Any interruption or cessation of transmission to or from the Seller’s services;
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Seller’s services by any third party;
- Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Seller’s services.
21.Indemnification
The Buyer agrees to indemnify, defend, and hold harmless Hi Pro Electronics, its directors, officers, employees, consultants, agents, and affiliates, from any and all third-party claims, liability, damages, and/or costs (including, but not limited to, legal fees) arising from the Buyer’s use of the Hi Pro Electronics website or services, the Buyer’s violation of these Terms and Conditions, or the Buyer’s infringement of any intellectual property or other right of any person or entity.
22.Modifications To the Service and Prices
- Prices for our products are subject to change without notice.
- We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.
- We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.
23.Products Or Services
- Certain products or services may be available exclusively online through the website. These products or services may have limited quantities and are subject to return or exchange only according to our Return Policy.
- We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor’s display of any color will be accurate.

The Buyer’s submission of personal information through the Hi Pro Electronics store is governed by the Seller’s Privacy Policy. The Privacy Policy can be found on the Hi Pro Electronics website.
29.Entire Agreement
These Terms and Conditions, together with the Privacy Policy and any other legal notices published by Hi Pro Electronics on the website, shall constitute the entire agreement between the Buyer and Hi Pro Electronics concerning the purchase of Goods.
